Contract 04

CHICAGO — System developer Pay-Ease LLC is suing two license agreement parties, citing alleged breach of contract and unjust enrichment.

Pay-Ease filed a complaint June 8 in Cook County Circuit Court against P-E Acquisition Holdings LLC and Citybase Inc., Jeffrey Taylor and Michael Duffy, alleging the defendants failed to comply with their contractual obligations under the license agreement.

According to the complaint, the parties entered the license agreement on Oct. 2013. However, Pay-Ease said the defendants failed to pay any of the amounts due, including $250,000 due on a promissory note, an accrued royalty balance and a lease agreement.

The plaintiff requests a trial by jury and seeks a judgment in an amount greater than $50,000, plus punitive damages, costs and any other relief deemed proper by the court. It is represented by David Wayne and Michelle Novick of Saul Ewing Arnstein & Lehr LLP in Chicago.
