CHICAGO – An Illinois man is suing his business partner, alleging the defendant made an unauthorized sale of corporate land and pocketed the proceeds for himself.
Prakash Kuruvilla, individually and derivatively on behalf of Muhammad BKP Plaza Inc., filed a lawsuit Dec. 14 in Cook County Circuit Court against David Muhammad, J&K Brooks LLC and non-records claimants, alleging breach of fiduciary duty.
According to the complaint, Kuruvilla is vice president and treasurer of Muhammad BKP Plaza in Harvey, a company he co-owns with its president, David Muhammad, and secretary, Beena Alexander. The suit says Muhammad unilaterally decided to sell a parcel of land the company owned to J&K Brooks for $120,000, keeping the money for himself in violation of the firm’s bylaws, in addition to reducing the value of the other owners' stock.
Kuruvilla seeks to void the property sale, as well as reimbursement for litigation costs. He is represented by attorneys James T. Rohlfing and Morgan G. Churma of James T. Rohlfing & Associates PC in Chicago.
