CHICAGO – A shareholder of a Cook County business alleges she was shut off from access to the company's records after she allegedly discovered evidence of corporate waste.

Ruth Elleby filed a complaint on Oct. 11 in Cook County Circuit Court against Forest Alarm Service Inc., and others, over allegations of breach of fiduciary duty and other counts.

According to the complaint, the plaintiff is a 33.5 percent shareholder of Forest Alarm Service and she alleges she discovered evidence of corporate waste and self-dealing. She alleges she requested copies of the company's books and records and shareholders and officers of the company "began a lengthy and systemic operation" to remove her from the company's management and control.

The plaintiff alleges the defendants breached their fiduciary duties by blocking her from access to the company's records and denying her from participating in the operation and management of the company.

The plaintiff seeks an order for the defendants to permit her to examine the company's books at any time, costs and damages, attorney fees and other related expenses. She is represented by James L. Wideikis and Shawn M. Staples of Much Shelist P.C. in Chicago.
