Many shareholder proposals relate to social and employment policies — and speak to implementation of new policies or disclosures (e.g., pay equity proposals). Recently, there has been a significant increase in anti-ESG or “anti-woke” proposals. This session will review the types of shareholder proposals being raised in the last year, the success of such proposals and other related issues. Further, we will discuss how the U.S. Supreme Court’s decision in the SFFA v. Harvard/UNC case has driven the ESG focus to evaluating the impact of that case on DEI/HR policy and implementation. We will review recent legislative and case law trends and what boards and organizations should expect with regards to ESG challenges. And as companies continue to face difficulties relating to political and social discord, we will discuss steps to walk through ESG considerations. Finally, we will address issues relating to affirmative use of audits, including pay equity audits, conducted in response to shareholder proposals.
