The FSMA stipulated that all fuel purchases by the defendants would be arranged by Zahdan at a specific rate.
However, according to the complaint, following the closing of the property sale, the defendants never purchased any fuel through Zahdan as agreed upon in the FSMA. This led to allegations that they had no intention of adhering to this agreement when they signed it. The plaintiffs are seeking specific performance or alternatively rescission due to this alleged breach.
