Former Employee Alleges Breach of Contract Against Education Companies Over Unpaid Compensation

A legal battle has erupted over the alleged unauthorized use of educational materials, as a former employee seeks justice against two companies for breach of contract and tortious interference. On April 25, 2025, Samuel Seiden filed a complaint in the Circuit Court of Cook County, Illinois, accusing TradingEDU, LLC and Life Surge LLC of failing to compensate him for educational content he developed.

The case revolves around Seiden's claim that while employed by OTA Franchise Corp., he created an educational program designed to teach students about trading securities using a methodology he developed. Under a Settlement Agreement with OTAF and its founder, Seiden was to be compensated for his work. However, both TradingEDU and Life Surge have allegedly used these materials without payment. Seiden argues that TradingEDU interfered with his contractual rights during negotiations with OTAF’s founder, leading to significant financial losses.

Seiden is seeking monetary damages exceeding $4.6 million from both defendants and an injunction to prevent them from using his educational program until they fulfill their financial obligations. The lawsuit claims that TradingEDU assumed the liabilities associated with the program when it acquired assets from NEHI and OTAF but failed to make any payments to Seiden. Similarly, Life Surge is accused of entering into a licensing agreement for the curriculum without compensating Seiden.
